    CLIENT SERVICES AGREEMENT & PAYMENT AUTHORIZATION
    This Client Services Agreement and Payment Authorization (“Agreement”) is entered into as of the date of signature or first payment (the “Effective Date”), by and between:
    Azgari Consulting, LLC (“Consultant”), with principal offices in [Insert Address], and
    Client (“Client”), an individual or entity desiring to engage Consultant for the services outlined herein.

    1. OUR ROLE AS YOUR LAUNCH PARTNER
    Consultant agrees to act as Client’s launch partner in identifying, building, launching, and scaling a service-based business. Consultant’s responsibilities include, but are not limited to:
    Conducting business model fit assessments.


    Narrowing options to suitable, market-validated business models.


    Structuring competitive analysis and launch planning.


    Establishing legal formation, accounting, and compliance documentation.


    Preparing and submitting funding/loan applications.


    Setting up operational systems, marketing, sales infrastructure, and team training.


    Delivering all launch materials in a systematic, approval-ready format.


    Consultant Guarantees:
    Consultant guarantees to work alongside Client until the business is launched with required legal formation, certification, and licensure completed.


    Consultant guarantees to package and submit all documentation in the most effective way possible to secure approvals and funding quickly.


    Consultant guarantees to keep working with Client through each step until launch is completed.


    Consultant Limitations:
    Consultant cannot control Client responsiveness or delays caused by Client’s failure to provide required information, documents, or approvals.


    Consultant cannot guarantee the timing or approval decisions of third parties (banks, government agencies, licensing bodies, certification boards, vendors, etc.).


    The consultant cannot guarantee financial results unless the client meets all responsibilities described below.



    2. CLIENT RESPONSIBILITIES
    To ensure a successful launch, Client agrees to:
    Provide timely and accurate information, documentation, and signatures required for business setup and funding.


    Actively participate in required calls, training, and strategy sessions.


    Invest in required marketing and ongoing operational/technology tools as recommended.


    Hire or assign sales and service team members and allow Consultant to train them.


    Follow Consultant’s structured launch process without deviation.



    3. LAUNCH GUARANTEE
    Launch Guarantee (120 Days): Consultant guarantees to launch Client’s business (with all required legal formation, certification, licensure, and systems setup) within 120 days, provided Client fulfills their responsibilities and other third party approvals are completed.
    Revenue Guidance: Consultant projects that businesses launched through the Program are capable of generating $300,000 to $700,000 in Year 1 annual revenue, but this projection is contingent upon:
    Client completing the entire Program,


    Client funding required marketing and operational investments, and


    Client hiring and supporting team members trained under Consultant’s direction.


    No guarantee of revenue is made if the client fails to meet these conditions.


    4. DELIVERABLE STRUCTURE (TENTATIVE, WEEKLY)
    Deliverables are structured across 12 weeks, with each tied to one installment payment:
    Business fit discovery (3–6 options).


    Market narrowing (top 3 models).


    Competitive analysis/validation.


    Model comparison & selection.


    Legal formation, accounting, financial prep.


    Funding package & loan docs.


    Loan pre-qualification application.


    Loan filing draft for Client approval.


    Loan application submission.


    Operations & software systems setup.

    Sales and business development



    Marketing launch: ads, social, funnel.


    Final integration, sales training, and launch execution.
    Owner training for business operations.


    Client acknowledges this schedule is tentative and subject to change based on business type, responsiveness, and third-party approvals.

    5. PAYMENT AUTHORIZATION
    Client hereby authorizes Azgari Consulting, LLC to charge the payment method. Client authorizes Consultant to process automatic recurring payments until the balance is paid in full. If any payment fails, the Consultant may retry after 48 hours keeping in mind that work towards their business will be paused until payment is cleared.

    6. LEGAL TERMS
    No Refunds: Payments are non-refundable once corresponding deliverables have been provided.


    Limitation of Liability: Consultant’s liability shall not exceed amounts paid by Client plus $3000.


    Governing Law: This Agreement is governed by the laws of the State of Delaware.


    Entire Agreement: This document contains the entire agreement and supersedes all prior agreements.



    ACCEPTANCE
    By completing payment online, Client acknowledges and agrees to all terms of this Agreement, including Consultant’s role, Client’s responsibilities, and the payment authorization.
